Security Terms and Conditions

Security Officer Services

“These Security Terms and Conditions establish the general operational, service and commercial conditions applicable to security-officer services provided by Kesmart Security. Customer-specific pricing, staffing schedules and special requirements remain governed by the applicable quotation, service agreement or executed contract.”


Customer-Specific Pricing and Services

“These general Security Terms and Conditions do not establish customer pricing. Rates, staffing quantities, operating schedules, locations, payment requirements and customer-specific services are stated in the applicable Kesmart Security quotation, service agreement or executed contract.”

“Where an accepted quotation or executed contract expressly differs from these general Security Terms and Conditions, the applicable executed contract and accepted customer-specific documents shall govern, subject to applicable law.”

I. General and Scope

1. Definitions and Application

These Terms and Conditions apply to all professional security officer services supplied by Kesmart Security to "the Customer" where incorporated by reference into an accepted quotation, purchase order, or service agreement. The "Customer" includes government agencies, commercial companies, and institutional clients.

2. Scope of Security Services

Kesmart Security provides professional security officer services focusing on deterrence, observation, access control, patrols, incident reporting, and emergency notification. Every officer assignment is performed according to the agreed staffing schedule and site-specific instructions.

3. Services Excluded Unless Specifically Quoted

The following are excluded unless expressly listed in the quotation: armed services, electronic security system maintenance, specialized screening equipment, and any services outside the defined site boundaries.

II. Personnel and Operations

4. Staffing, Scheduling, Relief and Continuity

“Kesmart Security will manage routine scheduling and reasonable relief arrangements for contracted posts. Any material change in staffing requirements, additional coverage, extended hours or services outside the accepted scope shall be subject to customer authorization and the applicable quotation or contract.”

5. Security Officer Standards

All officers are required to maintain a professional appearance, strictly adhere to punctuality, and conduct themselves according to Kesmart's Code of Conduct and the Customer's site policies.

III. Security and Emergencies

10. Incident Reporting and Escalation

Officers will document and report all significant incidents. In the event of a threat or breach, officers follow the escalation procedures defined in the site's Post Orders, notifying both Customer contacts and emergency authorities as required.

14. Confidentiality and Information Security

Kesmart and its officers shall maintain strict confidentiality regarding Customer documents, sensitive information, CCTV data, and site vulnerabilities. This obligation continues after the specific service period ends.

IV. Customer and Service Management

15. Customer Responsibilities

The Customer is responsible for providing authorized site access, clear instructions, credentials/keys, and safe working conditions, including basic welfare facilities for assigned officers.

20. Customer-Owned Security Systems

Authorized use of customer-owned CCTV, alarms, or communication systems does not make Kesmart responsible for the maintenance, performance, or reliability of those systems unless separately contracted.

V. Commercial Terms

21. Billing and Payment

Billing may be based on contracted coverage or verified hours worked. Customer-specific rates and payment terms (deposits, due dates) are established in the applicable quotation or contract.

25. Travel and Inter-Island Deployment

Approved inter-island travel, transportation, and mobilization costs are chargeable where specified in the quotation or final contract.

VI. Legal and Compliance

31. Licensing, Insurance and Regulatory Compliance

“Kesmart Security will maintain applicable licences, permits and insurance required for its contracted operations. Supporting documentation may be provided where reasonably required.”

32. Force Majeure, Hurricanes and Severe Weather

Neither party is liable for service interruptions caused by hurricanes, natural disasters, or civil emergencies outside their reasonable control. Kesmart does not promise uninterrupted service during conditions that are unsafe for personnel.

33. Limitations of Security Services

Security services assist with deterrence and reporting but cannot guarantee that every crime, loss, or incident will be prevented. Kesmart is not an insurer of the Customer's premises or property.

34. Liability, Indemnification and Risk Allocation

“Any specific indemnification, limitation-of-liability or risk-allocation provisions shall be governed by the applicable executed contract and applicable law.”

35. Order of Precedence

In case of conflict, the order of precedence is: 1. Executed contract; 2. Approved amendments; 3. Accepted quotation; 4. Approved Post Orders; 5. These general Terms.
